General Purchase, Fabrication & Engineering Services Conditions

These Terms and Conditions apply to every formal quotation, Bill of Quantities (BOQ), manufacturing dispatch schedule, and structural erection contract entered into by Krypson Infra Private Limited ("Supplier/Fabricator") and the acquiring corporate entity ("Client/Purchaser"). Structural calculations adhere strictly to IS 800:2007, MBMA Technical Manual, and AWS D1.1 guidelines.

Scope of Supply, Engineering & Fabrication

1.1 Extent of Supply: Krypson Infra Private Limited undertakes the detail engineering, computer-aided structural drafting (Tekla Structures / AutoCAD), plate profiling, beam assembly, automatic submerged arc welding (SAW), shop surface priming, and dispatch of Pre-Engineered Building (PEB) structural steel modules as itemized in the approved Bill of Quantities (BOQ).

1.2 Included Structural Components: Primary rigid frames (tapered and built-up welded rafters, interior columns, gable end posts), secondary members (cold-formed galvanised Z & C purlins, girts conforming to ASTM A653 / IS 277), crane runway beams, bracings (rod, pipe, angle), and wall/roof cladding envelopes (high-tensile corrugated Zincalume panels and PUF sandwich insulated panels).

1.3 Explicit Exclusions: Unless agreed through a distinct civil works schedule, Supplier’s scope strictly excludes all civil foundation works, holding down anchor bolt grout embedment, municipal drainage connections, lightning protection, HVAC integration, overhead crane hoisting machinery, and municipal building sanctions.

Fabrication Tolerances: Primary built-up members conform strictly to fabrication tolerances stipulated in the Metal Building Manufacturers Association (MBMA) Technical Manual and IS:7215. Any bespoke tolerance must be declared prior to work order release.

Design Basis & General Arrangement (GA) Approvals

2.1 Engineering Computations: Structural design calculations prepared by Krypson Infra rely upon topographical wind contours (IS 875 Part 3), seismic zoning parameters (IS 1893:2016), dead/live load requirements, and crane duty classes supplied directly by the Client or their appointed architect.

2.2 Approval of General Arrangement (GA) Drawings: Krypson Infra shall furnish General Arrangement (GA) and Anchor Bolt layout drawings within 7 to 14 business days from mobilization receipt. The Client must return approved drawings marked "Approved" or "Approved as Noted" within seven (7) calendar days.

2.3 Variations Post-Approval: Any subsequent structural modifications—including span variations, bay width changes, mezzanine loads, or door opening relocations—shall constitute a Variation Order with corresponding price and timeline extensions.

Raw Material Specifications & Price Escalation

3.1 Raw Steel Grades: Structural plates for built-up sections are procured in accordance with IS 2062 Grade E250 / E350 (or ASTM A572 Grade 50). Cold-rolled members are formed from high-tensile galvanized steel (minimum 345 MPa yield strength with 120-275 g/m² zinc coating).

3.2 Steel Market Index Pegging: Pricing quoted in the BOQ reflects primary producer indices (JSW, SAIL, Tata Steel) for Hot-Rolled Coils (HRC) and Cold-Rolled Coils (CRC) effective as of the official quotation date.

3.3 Escalation Formula: If the primary steel index changes by more than ±3% between quotation date and the formal receipt of the procurement advance, price escalation applies pro-rata to remaining unrolled tonnage.

Delivery, Freight & Laydown Readiness

4.1 Delivery Basis: Unless expressly specified as Free-On-Road (FOR) Destination, dispatches are Ex-Works (Supplier Works, Punjab). Freight, transit insurance, entry taxes, and local clearances are billed at actuals to the Client.

4.2 Phased Deliveries: Dispatches occur sequentially: Phase I (Anchor bolts & templates), Phase II (Primary columns and rafters), Phase III (Secondary purlins, girts, sag rods), and Phase IV (Roof/wall panels, trims, flashings).

4.3 Laydown Yard Obligations: The Client must ensure accessible 40-foot articulated trailer approach roads, 35-tonne load-bearing compacted paths, dry yard storage, and continuous 3-phase 415V/50Hz electric power supply (minimum 40 kVA).

Erection, Safety Protocols & Commissioning

5.1 Erection Methodology: Steel framing is erected utilizing calibrated torque wrenches for High-Strength Friction Grip (HSFG 8.8 / 10.9) bolts, telescopic hydraulic cranes, certified rigging slings, and engineered wire-rope guy lines to ensure structural plumbness throughout stabilization.

5.2 Safety Standards & PPE: Erection strictly follows IS 7205 (Safety Code for Erection of Structural Steelwork) and BOCW Act rules. Fitters and riggers wear Level-3 PPE (Double-lanyard safety harnesses, hardhats, high-visibility vests, steel-toed boots).

5.3 Idle Equipment & Standing Charges: Should erection crews arrive at site following Client’s notice of readiness but experience work stoppages due to foundation misalignment or lack of electrical connection, standard daily idle charges shall apply.

Stop-Work Authority: The appointed Krypson Infra Safety Officer holds unconditional authority to cease erection in high winds (>35 km/h), thunderstorms, ungrounded site generators, or near unshielded high-voltage power lines.

Payment Milestones, Retention & Title

6.1 Disbursement Milestones: Standard enterprise structural execution progresses per milestone schedule below:

Warranty & Defects Liability Period (DLP)

7.1 Defects Liability Period: Krypson Infra guarantees structural components against manufacturing and workmanship defects for a period of twelve (12) months from structural frame handover or fourteen (14) months from factory dispatch, whichever transpires earlier.

7.2 Remediation Scope: Warranty remediation covers free repair or replacement of defective welds or members arising from verified fabrication faults under normal operational load designs.

7.3 Voiding Factors: Warranty is rendered null if structures undergo unapproved additions, punctures, chemical exposures beyond design envelope, or failure of routine preventive roof gutter clearance.

Force Majeure, Arbitration & Jurisdiction

8.1 Force Majeure: Neither party shall be held liable for execution delays caused by events beyond reasonable control including natural calamities, catastrophic floods, war, civil strikes, rolling mill lockouts, or government transport embargoes.

8.2 Mediation & Arbitration: Disagreements shall first be submitted for amicable executive mediation led by Director Mr. Sanjay Verma. In unresolved events after thirty (30) days, disputes shall be settled via binding arbitration under the Indian Arbitration and Conciliation Act, 1996.

8.3 Exclusive Jurisdiction: The venue and seat of arbitration shall be Punjab, India. The civil courts having territorial jurisdiction in Punjab, India retain exclusive jurisdiction over any contractual matter.
